Terms of Service

By buying, subscribing to, or using any Doorcount product listed below (the "Services"), you agree to these Terms. If you are buying for a company, you confirm you can bind it.

1. What we sell

Annual plans cost 10 times the monthly price. Report allowances are per billing month, even on annual plans, and unused reports do not roll over.

Prices may change. A price change for an existing subscription takes effect at your next renewal, and we will tell you at least 14 days ahead by email.

2. What reports are, and what they are not

• Roll Call reports are math calculations performed on the data you give us. They total, compare, and summarize the figures in your file. We do not check your data against outside sources, inspect properties, or verify tenants, leases, or bank records. Deal Memo is a written analysis governed by the Deal Memo Terms of Service.
• They are not financial, legal, tax, lending, appraisal, or investment advice, and they do not recommend buying, selling, financing, or pricing any property. You are responsible for your own decisions and should consult your own licensed advisers.
• If your data is wrong or incomplete, the report will be too.

3. Roll Call: how it works and our accuracy promise

• Upload: files are accepted only through our website upload page. We do not accept files by email, text, or any other channel.
• Processing time: rent rolls in a standard layout are processed automatically and the report is ready the same day. Non-standard layouts may need manual handling and can take up to 2 business days. Standard layouts are Excel (.xlsx, .xls, .csv) and PDF exports from common property management systems; we publish the current supported list on our website.
• Low-confidence fields: when our software is not confident it read a field correctly, the report flags that field so you can check it.
• Reconciliation refund: if a report's totals do not reconcile with the totals in the file you uploaded, tell us within 7 days of delivery and we will refund the price of that report (for subscribers, we will issue a replacement report credit; if the corrected report still does not reconcile, we will refund that report's share of your monthly fee). This is your sole remedy for an inaccurate report. It does not cover errors in your own data or fields we flagged as low-confidence that you did not correct.

4. Fair use (Portfolio)

Portfolio includes up to 200 reports per month for one business's own deal flow. Reselling reports, sharing an account among unrelated businesses, or automated bulk uploading that strains the Service is not fair use. If usage looks abusive we will contact you first, and we may limit uploads or move you to a custom arrangement. There is no hard cap.

5. Deal Memo

Deal Memo purchases are governed by the Deal Memo Terms of Service at https://usedoorcount.com/deal-memo-terms/ until further notice.

6. Custom AI agent builds (CAS-01, CAS-02, CAS-03)

• The scope, deliverables, and number of revision rounds are as described on the order page or in our written confirmation. We deliver within the timeline shown on the order page at the time of your order.
• We start after payment and after you send the information we ask for. If you do not respond for 30 days, we may close the project.
• Once delivered, you may use the deliverables for your own business. We keep ownership of our general tools, templates, and know-how, and may reuse non-confidential, non-identifying techniques.
• AI systems can produce wrong output. You are responsible for testing and supervising anything we build before relying on it. Builds do not include hosting, third-party AI or software subscription fees, or ongoing support unless stated.
• Refunds: full refund before work starts; 50% refund after work starts but before delivery; no refund after delivery.

7. Subscriptions, renewal, cancellation, plan changes

• Auto-renewal: subscriptions renew automatically at the end of each monthly or annual period, and the card on file is charged the then-current price until you cancel.
• Cancel anytime: cancel in the customer portal link in your receipt or account, or by emailing us. Cancellation takes effect at the end of the current billing period; you keep access until then. We do not give partial refunds for unused time except where required by law or stated in these Terms.
• Plan changes: upgrades take effect immediately and are prorated: the unused portion of your current plan is credited and the new plan is charged for the remainder of the period. Downgrades take effect at the end of the current billing period.
• Failed payments: if a renewal payment fails, we may retry and may pause access until it is paid.

8. Payment and taxes

• Payments are processed by Stripe. We do not see or store your full card number.
• Prices exclude tax. Sales tax is added at checkout where applicable, based on your billing address.
• One-time purchases are charged at checkout.

9. Your files and confidentiality

• Uploaded rent rolls and related files are treated as confidential. We use them only to produce your report, to answer your support requests about that report, and to process any refund claim.
• We do not sell your files, share them with other customers, or use them to train AI models. We only use processing vendors that contractually do not train on customer data.
• We keep uploaded files and generated reports for 90 days after upload, then delete them, unless you ask us to delete them sooner or the law requires us to keep them. Download any report you want to keep.
• You confirm you have the right to upload the files and that doing so does not break any agreement or law. Do not upload Social Security numbers, bank account numbers, or other sensitive tenant identifiers that the report does not need.

10. Acceptable use

Do not: upload malware or files you have no right to use; try to break, overload, or reverse engineer the Service; resell reports or access; or use the Service for anything unlawful, including unlawful housing discrimination.

11. Disclaimers

Apart from the promises in Sections 3 and 5, the Services are provided "as is" and "as available." To the extent the law allows, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limit of liability

To the extent the law allows, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost deals, or financing outcomes. Our total liability for any claim is limited to the amount you paid us for the Service at issue in the 12 months before the claim.

13. Indemnity

You will cover our reasonable costs from third-party claims arising from files you upload without the right to do so or from your misuse of the Services.

14. Termination

We may suspend or end access for a material breach of these Terms. If we end a subscription without cause, we will refund any prepaid, unused portion.

15. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Comal County, Texas, and both sides consent to that venue. Please email us first; we will try to resolve any issue informally within 30 days. To the extent the law allows, claims must be brought individually and not as a plaintiff or class member in any class or representative action.

16. Changes to these Terms

We may update these Terms. We will post the new version with a new effective date and email subscribers about material changes at least 14 days before they apply.
